DocLanding Developer Platform Terms & Conditions

Thank you for your interest in DocLanding and our Developer Platform! Your use of the DocLanding Developer Platform constitutes your agreement to this License and Doccenter, Inc. does not grant you any rights with respect to the DocLanding Developer Platform unless you agree to and comply with all the terms of this License. Please read these Developer Terms carefully before investing your time to use the Developer Platform. Please also carefully read the Terms & Conditions and our Privacy Policy, which are incorporated into these Developer Terms. You may develop with the DocLanding Developer Platform only if you have the legal power to form a contract with us.

License. Doccenter, Inc. grants you a nonexclusive license to use the DocLanding Developer Platform solely for the purpose of enabling users of your App to create, read, update or delete certain content from DocLanding user accounts. No license is granted with respect to any rights to patents, copyrights, trade secrets, trademarks, or any other rights in respect to the DocLanding Development Platform. There are no implied licenses under this License, and any rights not expressly granted to you in this License are reserved by Doccenter, Inc. or its suppliers.

Developer API Keys. In order to access the Developer Platform, you must register for a unique key from Doccenter, Inc. You will be issued one or more unique security keys, tokens, passwords and/or other credentials (collectively, “Keys”), for accessing the Developer Platform and managing your account. You may only access the Developer Platform with the Keys issued to you by Doccenter, Inc. Access may not always be available. You may not sell, transfer, sublicense or otherwise disclose your Keys to any other party or use them with any other Application other than that for which you initially applied for it. You are responsible for maintaining the secrecy and security of your Keys. You are fully responsible for all activities that occur using your Keys, regardless of whether such activities are undertaken by you or a third party. You are responsible for maintaining up-to-date and accurate information (including a current email address and other required contact information) for your account. Doccenter, Inc. may discontinue your access to the API if such contact information is not up-to-date and/or you do not respond to communications directed to such coordinates. You must report to Doccenter, Inc. each App that you deploy by sending a brief description of the App and a link to a location where Doccenter, Inc. can download and review the App.

API Modifications. Doccenter, Inc. reserves the right to modify the API, and to release subsequent versions of the API. You may be required to obtain and use the most recent version of the API in order to obtain functionality of your Application with the Service. The API is currently provided for free, but Doccenter, Inc. reserves the right to charge for the API (or additional features or functionality therefor) in the future.

Prohibited Uses. The DocLanding Developer Platform is made available without charge to developers in order to permit developers to create Applications that enhance the web experience of consumers in general, and Doccenter, Inc. users in particular. Without limiting other restrictions in this Agreement, you agree that: (i) the Devleoper Platform may not be used to create Applications that offer or promote services that may be damaging to, disparaging of or otherwise detrimental to Doccenter, Inc. or its licensors, licensees, affiliates and partners; and (ii) the Developer Platform may not be used for or to create Applications that transfer, display or use Content from DocLanding without the Application creating an additional or distinct benefit for DocLanding’s end users’ use of the Service.

Monitoring Use of the DocLanding Developer Platform. You agree to provide us with access to your Application and/or other materials related to your use of the Developer Platform as reasonably requested by us to verify your compliance with this Agreement. You agree that we may crawl or otherwise monitor online Applications and you agree not to block or interfere with such efforts by Doccenter, Inc.

Usage Limitations. Doccenter, Inc. may limit the number of network calls that your Application may make via the API, and/or the maximum file size, and/or the maximum Content that may be accessed, or anything else about the API and the Content it accesses as Doccenter, Inc. deems appropriate, in its sole discretion; these limitations may on occasion be without notice. In addition, Doccenter, Inc. may post usage limitations at the Developers area of its web site, and change such usage limits at any time. In addition to its other rights under this Agreement, Doccenter, Inc. may utilize technical measures to prevent over-usage and/or stop usage of the API by an Application after any usage limitations are exceeded.

Appropriate Conduct and Usage Restrictions. You agree that you are responsible for your own conduct while using the API and for any consequences thereof. You agree to use the API only for purposes that are legal, proper and in accordance with this Agreement, any Separate Agreement and any applicable policies or guidelines provided by Doccenter, Inc. from time to time. In addition to the other restrictions contained in this Agreement you agree that when using the API you will not, directly or indirectly, take or enable another to take any of the following actions:

  • interfere with or disrupt services or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
  • restrict or inhibit any user from using and enjoying the Service;
  • use the Service for any illegal or unauthorized purpose;
  • circumvent or modify any Keys or other security mechanism employed by Doccenter, Inc. or the API;
  • request, collect, solicit or otherwise obtain access to sign-in names, passwords or other authentication credentials for DocLanding, other than by directing users to DocLanding in the mechanism specifically provided by the DocLanding Developer Platform;
  • The usernames and passwords of Service subscribers may only be used by your App as provided in this License and shall not be made available to third parties notwithstanding any consent of Service subscribers to the contrary.
  • imply inaccurate creation, affiliation, sponsorship or endorsement of you or your Application as by Doccenter, Inc. or of the Content as your own;
  • use any robot, spider, site search/retrieval application or other device to retrieve or index any portion of the Service or collect information about users for any unauthorized purpose;
  • create user accounts by automated means or under false or fraudulent pretenses;
  • transmit any viruses, worms, defects, Trojan horses or any items of a destructive nature; or
  • utilize the optical character recognition results or data obtained by submitting Content with images or PDF files to the Service for any independent purpose besides locating such Content within an DocLanding account.
  • create a service or application to replicate the user experience of the Service, or to create or operate an App where the primary purpose is to enable the services and/or features competitive with the Service, as determined by Doccenter, Inc. in its sole discretion.
  • use any information provided by DocLanding users to market to such users any products or services that are competitive with Doccenter, Inc., and you may not allow third parties to do so. This obligation survives any expiration or termination of this Agreement.
  • use or allow the use of the DocLanding API or any App to send or facilitate the sending of unsolicited communications or for any fraudulent purpose, including but not limited to phishing.
  • use the DocLanding API in any manner or for any purpose that (i) would violate any laws, rules or regulations, (ii) would violate or infringe the rights of any third party; (iii) may be deemed libelous or defamatory; or (iv) is otherwise fraudulent, malicious or harmful to any person or entity, or discriminatory based on race, color, sex, religion, nationality, ethnic or national origin, marital status, disability, sexual orientation or age.

  • Support. Doccenter, Inc. has no obligation to provide you or your users with support, software upgrades, enhancements or modifications to the API (“Support”). You understand and agree that you are solely responsible for providing user support and any other technical assistance for your Application. Doccenter, Inc. may redirect users and potential users of your Application to your email address on your account for purposes of answering general Application inquiries and support questions.

    Ownership. Doccenter, Inc. retains all rights, title and interest in and to the DocLanding API and all intellectual property rights embodied therein and any data, content, or executables created or derived therefrom (“Doccenter, Inc. Property”). You retain all rights, title and interest in and to all intellectual property rights embodied in or associated with your application created using the DocLanding API, excluding Doccenter, Inc. Property. You shall not take any action inconsistent with Docenter, Inc’s ownership of Doccenter, Inc. Property or a Service subscribers ownership interest in his/her Files. The DocLanding API may be protected by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the U.S. and other countries and you agree to abide by all applicable proprietary rights laws and not to remove any proprietary rights notices within the DocLanding API.

    Termination, Suspension, Modification, and Limitations. As a condition to the license granted to you, you acknowledge and agree that we reserve the right to change all or any part of this License, to suspend, limit or disable access to the DocLanding API or databases, Files, data or content accessible through the DocLanding API, and/or to terminate this License, in each case at any time with or without cause and without liability to you. Your rights to use the DocLanding API shall automatically terminate upon (i) your violation of provision of this License; (ii) Doccenter, Inc’s notice of termination; and (iii) Doccenter Inc’s election to disable your use of the DocLanding API. Any notice of changed terms or of termination may be provided by any means including, without limitation, posting on the DocLanding service, by electronic mail, or by any other communication. If you disagree with any modifications to this License, your sole recourse is to stop using the DocLanding API and your continued use of the DocLanding API following notice of such modifications constitutes your agreement to such modifications. You acknowledge that Doccenter, Inc. is under no obligation to provide you with any support for the DocLanding API. You agree that you will not pursue any cause of action or claim against Doccenter, Inc. related to applications you develop with the DocLanding API or intellectual property embodied in such applications or the DocLanding service and that Doccenter, Inc. shall have no liability to you for the same. In no event shall Doccenter, Inc. be prevented from developing, acquiring, licensing, marketing, distributing or otherwise using and/or exploiting any products, services or applications which are competitive with any application you create using the DocLanding API, regardless of their similarity with such application. The provisions shall survive expiration or termination of this License along with terms which, by their nature, are to survive expiration or termination of this Agreement.

    Indemnification. You agree to indemnify, defend and hold us, our affiliates, distributors, co-branders and other partners, licensors, advertisers and sponsors, and our and their directors, officers, employees, consultants, agents, successors and assigns (collectively, “Doccenter, Inc. Parties”), harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from your use and/or implementations of the DocLanding API, or your violation of any terms of this License; provided, however, that: (a) at Doccenter, Inc’s election, it may assume control of the defense and settlement of any claims subject to your indemnification obligation at your sole cost and expense, and (b) you may not settle any such claims without the express written consent of the applicable Doccenter, Inc. Parties.

    Disclaimer of Warranties. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
    (a) YOUR USE OF THE API AND THE SERVICE IS AT YOUR SOLE RISK. THE API AND THE SERVICE ARE EACH PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCCENTER, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
    (b) DOCCENTER, INC. DOES NOT WARRANT THAT (i) THE API OR THE SERVICE WILL MEET ALL OF YOUR REQUIREMENTS; (ii) THE OPERATION OF THE API OR THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT KNOWN OR DISCOVERED ERRORS WILL BE CORRECTED; OR (iii) WILL PROVIDE RESULTS THAT ARE ACCURATE OR RELIABLE OR (iv) WILL MEET YOUR EXPECTATIONS.
    (c) DOCCENTER, INC. IS NOT RESPONSIBLE FOR ANY CONTENT OR OTHER MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE API OR THE SERVICE, ALL OF WHICH IS OBTAINED AT YOUR OWN DISCRETION AND RISK, AND YOU ACKNOWLEDGE AND AGREE THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD AND/OR USE OF ANY SUCH MATERIAL.
    (d) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM DOCCENTER, INC’S EMPLOYEES OR AGENTS, OR THROUGH OR FROM THE USE OF THE API OR SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

    Limitation of Liability. YOU EXPRESSLY UNDERSTAND AND AGREE THAT DOCCENTER, INC., ITS SUBSIDIARIES, AFFILIATES AND LICENSORS, AND OUR AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, COVER OR OTHER INTANGIBLE LOSSES (EVEN IF DOCCENTER, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (i) THE USE OF OR THE INABILITY TO USE THE API; (ii) UNAUTHORIZED ACCESS TO, OR THE LOSS, CORRUPTION OR ALTERATION OF, YOUR APPLICATION, TRANSMISSIONS, CONTENT OR DATA; (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY USING THE APPLICATION OR THE SERVICE; (iv)DOCCENTER, INC’S ACTIONS OR OMISSIONS IN RELIANCE UPON YOUR ACCOUNT INFORMATION AND ANY CHANGES THERETO OR NOTICES RECEIVED THEREFROM; (v) YOUR FAILURE TO PROTECT THE CONFIDENTIALITY OF ANY PASSWORDS OR ACCESS RIGHTS TO YOUR ACCOUNT INFORMATION OR THE ACCOUNT INFORMATION OF ANY USER OF YOUR APPLICATION; (vi) THE ACTS OR OMISSIONS OF ANY THIRD PARTY USING THE APPLICATION OR THE SERVICE; (vii) THE TERMINATION OF AVAILABILITY OF THE API OR THIS AGREEMENT; OR (viii) ANY OTHER MATTER RELATING TO THE API.

    Confidential Information. The term “Doccenter, Inc. Confidential Information” means any information of or relating to Doccenter, Inc. that becomes known to you through disclosure, observation or otherwise, and that either is designated as confidential by Doccenter, Inc. or that is not generally known or readily ascertainable to the public, including, without limitation, nonpublic information regarding DocLanding’s API and Doccenter, Inc’s products, services, programs, features, data, techniques, technology, code, ideas, inventions, research, testing, methods, procedures, know-how, trade secrets, business and financial information and other activities. All Doccenter, Inc. Confidential Information remains the property of Doccenter, Inc. unauthorized dissemination, both during and after the term of this Agreement. If you are an organization, you will limit your internal distribution of Doccenter, Inc. Confidential Information to your personnel and agents who have a need to know, and will take steps to ensure that dissemination is so limited. You will not use any Doccenter, Inc. Confidential Information for the benefit of anyone other than Doccenter, Inc. Upon Doccenter, Inc’s written request, you will destroy or return to Doccenter, Inc. all Doccenter, Inc. Confidential Information in your custody or control. In addition to the terms of this provision, you and Doccenter, Inc. will continue to be subject to any nondisclosure agreement that you and Doccenter, Inc. have entered into separately. This provision will survive any termination of this Agreement.

    Miscellaneous. This License is governed by and construed in accordance with the laws of the State Nebraska.
